Directors Kit Terms of Use

Version 1.0 · Last updated: 15 October 2026

These Directors Kit Terms of Use ("Kit Terms") apply when you use the Directors Kit on widegaap.com, whether you use only the free tools or the full kit under a paid plan. They add to our Terms & Conditions, Privacy Policy and Disclaimer, which also apply. If these Kit Terms and the Terms & Conditions differ on anything to do with the kit, these Kit Terms apply. You accept them when you tick the box in the kit, and you are asked to accept them again whenever we change them.

1. Who we are

The Directors Kit is provided by Wide GAAP, which is operated by Waleed Asad, Dublin, Ireland ("Wide GAAP", "we", "us", "our"). You can contact us at hi@widegaap.com.

2. What the kit is

The Directors Kit is a set of online tools for company directors, independent non-executive directors, audit committee members, fund directors and charity trustees of companies in Ireland and the United Kingdom. Each tool asks questions, applies the rules described in it to your answers and shows a conclusion, the working behind it and the law or standard it relies on. Most tools also produce a draft board note.

A small number of tools are free to use with a site account ("free tools"). Every other tool is part of the full kit, which needs a paid plan (section 7).

3. A checking aid, not advice

This is the most important part of these Kit Terms. Please read it carefully.

  • For your own checking only. The kit is a checking aid that helps you think through a question and record your reasoning. It does not give legal, accounting, tax, audit, insolvency, regulatory, investment or any other professional advice, and using it does not create an adviser and client relationship with Wide GAAP or with Waleed Asad.

  • Conclusions are indications. A conclusion shows what your answers indicate under the rules the tool applies. It is not a decision, an opinion or a confirmation that the company or anyone else complies with the law, a code, a standard or a regulator's requirements.

  • Your duties stay with you. Directors, committee members and trustees remain fully responsible for their own decisions and for complying with their legal duties. The kit does not replace the board's judgement, the company's constitution, legal advice, the work of the company's accountants or auditors, or the guidance of any regulator. Using the kit is not evidence that a duty has been met and does not give anyone a defence.

  • Take advice where it matters. Where a decision is significant, or the kit points to a possible breach, offence, insolvency, unlawful distribution or loan, disqualification or restriction risk, regulatory issue or personal liability, take advice from a suitably qualified professional before you act. Do the same if your facts are unusual, close to a limit or not covered by the tool.

  • Board notes and drafts are yours to check. Board notes, minutes, resolutions, statements, plans, questions and other drafts are starting points. You must review, correct and adapt them before anyone signs, files, publishes or relies on them. Once you use them, they are your documents.

4. No guarantee

We take care over the kit and each tool is checked against the primary sources it cites, but we do not guarantee that any tool, conclusion, figure, date or draft is complete, accurate, up to date or suitable for your circumstances. In particular:

  • The law changes. Each tool states the date its law was checked ("law as at"). Law, codes, standards and regulators' practice may have changed since then, and changes may apply before we update the tool.

  • Tools cover the main rules only. Each tool says what it does not cover. Special regimes, exemptions, transitional rules, the company's constitution, group arrangements and the facts of your case may change the answer.

  • Ratings and thresholds are judgements. Scores, ratings, bands, red, amber and green flags and warning levels reflect our judgement of reasonable practice. They are not legal tests unless the tool says so.

  • Dates are for planning. Deadlines and calendar entries are worked out from the dates you enter and the rules as we understand them. Check each date with the relevant authority or your advisers before you rely on it.

  • AI assistance. Parts of the kit, including some research, drafting and code, were prepared with the help of artificial intelligence tools and then reviewed. Errors may remain.

We do not guarantee any outcome with a court, regulator, registrar, tax authority, auditor, lender, insurer or anyone else.

5. Your responsibilities

  • Accurate answers. The kit works only from what you enter. You are responsible for the accuracy and completeness of your answers and figures, and for checking every output before you rely on it.

  • Authority to use information. Only enter company information that you are entitled to use for this purpose, and keep any confidentiality duty you owe to the company.

  • Personal data. Do not enter more personal data about other people than you need. Where a tool asks about cases or individuals (for example whistleblowing cases), anonymise them. You are responsible for having a lawful basis for any personal data you enter.

  • Third parties. Outputs are prepared for you and your own board or committee. Nobody else may rely on them as coming from Wide GAAP. If you share an output with anyone else, you do so at your own risk and responsibility.

6. The free tools

The free tools are available to anyone with a site account who accepts these Kit Terms. They include the same working, board notes and saved files as the full kit, for those tools only. We may change which tools are free, limit them or stop offering free tools at any time. If a tool you used for free becomes part of the full kit, the files you saved with it stay in your account but you will need a plan to open them.

7. The full kit and your plan

  • Price. The full kit costs €499 for the first year, made up of a one-off joining fee of €450 and the first annual subscription of €49, both taken when you buy. After that the plan renews at €49 a year. Prices are in euro and include any VAT that applies. The price shown at checkout is the price that applies to your order.

  • Automatic renewal. Your plan renews automatically each year on the anniversary of your purchase, and the subscription is taken from your payment method, until you cancel. We will remind you by email before each renewal.

  • Price changes. We may change the renewal price. If we do, we will tell you at least 30 days before the renewal it applies to, and you can cancel before then.

  • Cancelling. You can cancel at any time in your member account (Pricing Plans) or by emailing hi@widegaap.com. Cancelling stops future renewals. Your access to the full kit continues until the end of the year you have paid for.

  • One person per plan. A plan is a personal licence for one named member. It may not be shared with other directors, colleagues or an organisation. If you would like access for a whole board or firm, contact us.

  • Ireland and the UK. A plan covers every tool for both jurisdictions.

8. Refunds

If you are a consumer, nothing in this section affects your statutory rights, including those under the Consumer Rights Act 2022.

  • Within 14 days, before you use the full kit. If you cancel within 14 days of buying and you have not opened any tool of the full kit, we will refund everything you paid.

  • Once you have used the full kit. When you buy, you ask us to give you access straight away. If you open a tool of the full kit within the 14 days, the joining fee and the first year's subscription are not refunded, except where the law requires a refund. If the law gives you a right to cancel a service you have started to use, we will refund the price less a proportionate amount for the time you had access.

  • Renewals. If you forget to cancel and contact us within 14 days after a renewal, and you have not opened a tool of the full kit since it renewed, we will refund that renewal.

  • Faults. If the kit does not work as described, tell us. We will fix it within a reasonable time and, if we cannot, give you a fair refund.

  • If we withdraw the kit. If we close the full kit during a year you have paid for, we will refund a proportionate part of that year's subscription.

Refunds are made to the original payment method. Section 10 of our Terms & Conditions explains how to ask for one.

9. Your working files

When you save a file, its answers are stored in your site account so that you can come back to it. Your files are private to your account: other members cannot see them. We do not look at them except where we need to (for example to help when you ask for support, to keep the site secure or where the law requires it). Unsaved drafts are kept in your own browser on your device.

Keep your own copy of anything important, for example by printing or downloading the board note. We take reasonable care, but we do not guarantee that saved files will always be available or will never be lost. You can delete a file at any time. If you close your account, your saved files are deleted. If your plan ends, your files stay in your account and open again if you renew. Our Privacy Policy explains how we handle personal data.

10. Licence and acceptable use

We give you a personal, non-exclusive and non-transferable licence to use the kit for your own work as a director, committee member, trustee or adviser to a board. You may use, adapt and share the outputs you create (such as board notes and drafts) within the boards and organisations you serve and with their advisers.

You must not share your login, give anyone else access to the kit, copy or extract its questions, logic, wording or code, build a similar product from it, use it to train or ground any artificial intelligence system, or scrape it. Section 7 of our Terms & Conditions applies in full, and we may suspend or close an account that breaks it.

11. Changes to the kit

We may update, correct, add, change or withdraw tools at any time, for example when the law changes or to fix an error. We aim to keep the "law as at" date on each tool current, but we do not promise to update any tool by a particular date.

12. Our liability

Nothing in these Kit Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited or excluded by law. If you are a consumer, your statutory rights are not affected.

Subject to that, neither Wide GAAP nor Waleed Asad is liable for any loss arising from reliance on the kit, its conclusions, figures, dates or drafts; from any decision taken or not taken by you, a board, a committee or anyone else; from any fine, penalty, interest, claim, restriction or disqualification; or for any business loss (including loss of profit, revenue, contracts, data or goodwill) or any indirect or consequential loss.

Our total liability to you in connection with the kit is limited to the amount you paid us for the kit in the 12 months before the claim arose. If you used only the free tools, it is limited to €100.

13. Ending your use

You can stop using the kit and cancel your plan at any time (section 7). We may suspend or end your access to the kit if you break these Kit Terms or our Terms & Conditions. Sections 3, 4, 5, 10 and 12 continue to apply after your use ends.

14. Changes to these Kit Terms

We may update these Kit Terms. Each version has a number and a date. When we change them, the kit will ask you to accept the new version the next time you open it. If a change is significant and you do not accept it, you can cancel your plan and we will refund a proportionate part of the year you have paid for.

15. Governing law

These Kit Terms are governed by the laws of Ireland, and the Irish courts have jurisdiction. If you are a consumer living elsewhere, including in the United Kingdom, you also keep the protection of the mandatory laws of the country where you live and may bring proceedings there.
